Clients retain ownership of their content but grant Shuchit Infotek a non-exclusive, royalty-free license to use, modify, and publish the content solely for the purpose of providing the agreed services.
- Approval and Feedback: Clients must provide timely feedback and approvals to ensure that projects proceed according to schedule. Delays in approvals or feedback may result in additional charges and extended timelines.
4. Payment Terms
- Fees and Payments: Clients agree to pay all fees for the services provided by Shuchit Infotek as outlined in the respective service agreements. All payments must be made in accordance with the payment schedule specified in the agreement.
- Late Payments: In the event of late payments, Shuchit Infotek reserves the right to charge a late fee of 2% per month on the outstanding balance. We may also suspend or terminate services until all overdue amounts are paid in full.

5. Intellectual Property
- Ownership: All intellectual property rights in the designs, code, content, and materials created by Shuchit Infotek during the course of providing services remain the exclusive property of Shuchit Infotek unless explicitly transferred to the client through a written agreement.
- License: Upon full payment of all fees, Shuchit Infotek grants the client a non-exclusive, perpetual license to use the deliverables for their intended purpose. 6. Limitation of Liability
- No Guarantees: While Shuchit Infotek strives to provide high-quality services, we do not guarantee specific results from our SEO, digital marketing, or other services. Success in digital marketing and SEO depends on various factors beyond our control, including market conditions, competition, and search engine algorithms.
- Indirect Damages: Shuchit Infotek shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities arising out of or related to the use or inability to use our services.
- Maximum Liability: In any event, Shuchit Infotek’s total liability to the client for any claim arising under these Terms or related to our services shall not exceed the total amount paid by the client for the specific service that gave rise to the claim.
7. Termination
- Termination by Client: Clients may terminate their service agreement with Shuchit Infotek by providing written notice. However, all payments made are non-refundable, and any unpaid amounts will become immediately due upon termination.
- Termination by Shuchit Infotek: We reserve the right to terminate or suspend our services to any client at our discretion, particularly in cases of non-payment, breach of these Terms, or misuse of our services.
8. Confidentiality
Both parties agree to keep all confidential information shared during the course of the services private and not disclose it to third parties without prior written consent. This obligation extends beyond the termination of the service agreement.
9. Governing Law
These Terms and any disputes arising out of or related to them or our services shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
